Terms of service

Last updated: September 2026

The terms of working with a small studio, in plain English. If anything here is unclear, ask us before you sign anything.

Who you are contracting with

Nerai Labs LLC, a limited liability company registered in New Mexico, United States. You can reach us at hello@nerailabs.com. These terms cover this website and any work we do for you, unless we sign a separate agreement that says otherwise.

How work starts

We scope everything in writing before we begin. A proposal names the work, the deliverables, the price and the timeline. Work starts when you accept that proposal in writing and pay the deposit, if there is one. Where the proposal and these terms disagree, the proposal wins.

Fees and invoicing

Prices are in US dollars unless the proposal says otherwise. Project work is billed as a deposit plus milestones. Retainers and subscriptions are billed in advance, one period at a time. Invoices are due within the days stated on them, 14 by default. We accept cards through Stripe and bank transfer. Card payments are processed by Stripe: we never see or store your card details.

Taxes and third-party costs

Prices exclude any taxes you owe in your own country. Hosting, AI model usage, domains and other third-party services are yours to pay for, on your own accounts wherever possible. If we pay them for you, we pass them through at cost on the next invoice, with no markup.

What we need from you

Feedback in reasonable time, access to the systems the work touches, and the content and accounts the work depends on. Delays on your side move the timeline, they do not change the price.

Revisions and acceptance

Each deliverable includes the revision rounds named in the proposal. You have 10 business days to review a delivery and tell us what is wrong. After that we treat it as accepted. Anything outside the agreed scope is quoted separately before we do it.

Who owns what

Once you have paid in full, the deliverables are yours, source code included. We keep ownership of the tools, libraries and internal building blocks we brought with us, and you get a license to use them inside your project for as long as you need it. We may describe the work publicly as a case study, without confidential details, unless you ask us not to.

Confidentiality

What you tell us stays between us, and we expect the same from your side. This holds after the engagement ends.

What we do not promise

We build software carefully and we stand behind it. We do not promise business outcomes: not rankings, not traffic, not revenue, and not how a third-party model or platform will behave. AI systems are probabilistic and the platforms we integrate with change on their own schedule. When we think something will not work, we tell you before you pay for it.

Warranty on what we deliver

If a deliverable does not do what the proposal says it does, tell us within 30 days of delivery and we fix it at no charge. That is the remedy for defects.

Limits of liability

Neither side is liable for indirect or consequential losses. Our total liability for any engagement is capped at what you paid us for that engagement in the 6 months before the claim.

Ending an engagement

Either side can end an engagement with 15 days written notice. You pay for the work done up to that point and we hand over whatever is finished. Retainers and subscriptions are governed by the refund policy.

Governing law

These terms are governed by the laws of the State of New Mexico, United States.

Changes

If we update these terms we change the date above. The version that applies to your engagement is the one in force when it started.
